INFORMACIÓN NECESARIA ANTES DE PRETENDER HACER UNA OPERACIÓN DE COMPRA/VENTA DE DIVISAS.

El proceso de globalización económica que desde aproximadamente una década se ha hecho cada vez más patente exige de reglamentaciones que lo encaucen. Una de las disfuncionalidades más evidentes de dicho proceso carente de regulación han sido los movimientos
 de capital en masa a corto plazo cuyas consecuencias han sido, a menudo, la recesión y el paro de los Estados afectados por dichas entradas y salidas de capital en masa, la mayoría de ellos ubicados en zonas en vías de desarrollo. Estos movimientos de capital, que no van aparejados a la producción de bienes ni a la prestación de servicios, no generan ninguna riqueza para las sociedades y pueden ser causa de su recesión.

Dadas estas circunstancias se hace necesario pensar en mecanismos que eviten este tipo de conducta, en mecanismos que garanticen la estabilidad de los mercados de divisas, sin que, por otra parte, se afecte al comercio internacional ni a los movimientos de capital a largo plazo. Uno de los mecanismos ideados es un impuesto sobre las operaciones de cambio de divisas, billetes de banco y monedas como el que es objeto de la presente ley.

Este impuesto presenta una exigencia básica y es el de tener un ámbito de aplicación global, mundial, atendidas las características de este tipo de mercados. Dada la dificultad de conseguir una política fiscal a dicho nivel, Europa, y el Estado español quiere ejercer, junto con Bélgica e Italia, un claro liderazgo en ello, debe tomar la iniciativa y crear para su espacio económico los mecanismos de control para el tipo de operaciones antes descritas, al igual que ha hecho en el ámbito del medio ambiente, con la puesta en práctica del Protocolo de Kyoto. El liderazgo del Estado español pasa, entre otras medidas, por la aprobación de la presente ley, primer paso para avanzar hacia la regulación necesaria del espacio económico mundial.

El segundo objetivo perseguido por el presente impuesto, a parte de la consecución de la estabilidad de los mercados financieros, concretamente del de divisas, es el de obtener unos ingresos que deberán destinarse a superar los desequilibrios sociales y territoriales a nivel europeo y mundial. De esta forma se va avanzando, una vez más, hacia la gobernabilidad global.

El impuesto, a parte de lo relacionado hasta ahora, se caracteriza básicamente por aplicarse a todas las operaciones de intercambio de divisas efectuadas en y desde el Estado español por personas residentes o no residentes, y por combinar dos tipos impositivos, uno muy bajo, en este caso de un 0,02% del importe de la operación de intercambio de divisas, para el tráfico habitual en los mercados de divisas, tipo que no supone ningún freno a las operaciones de economía productiva, y otro tipo impositivo que puede llegar hasta el 80% para los supuestos de alteraciones importantes en las cotizaciones de las divisas. Sólo de esta forma podrá actuar el impuesto creado como freno de entradas y salidas de capital en masa en una economía con fines puramente especulativos. En cuanto a la forma de liquidación y gestión del impuesto, la ley remite a una ulterior legislación de carácter reglamentario.

INFORMACIÓN PARA INTERMEDIARIOS:
El dólar es el más beneficiado en este tipo de operaciones si está fuera de Europa, si está dentro de Europa entonces es dinero negro, la manipulación con dinero negro es delito.

PROCEDIMIENTO DE COMPRA / VENTA DE DIVISAS.
Lo más importante para el euro que representamos es hacer la operación, y hacerla dentro de los parámetros legales de seguridad y confidencialidad.
Esto nos presenta cuatro grandes frentes.
1. El envío de documentos con datos confidenciales a manos de terceras personas como podemos ver con la gran cantidad de documentos que viajan por Internet con información confidencial, (firmas, sellos, membretes, pasaportes, datos bancarios, etc...) dejan al titular de los mismos en una precaria posición frente a los especialistas en la manipulación de este tipo de documentos, pudiendo proveer a los secuestradores de personalidad de nuevas personalidades.
Con esta situación, ni al proveedor de euros ni al proveedor de dólares le interesa la libre circulación de documentos con este tipo de información por la RED.

2. A esto tenemos que añadir que la Agencia Española de Protección de Datos no tiene asignación en los Presupuestos Generales del Estado, situación que pone a dicha Agencia en condiciones de subsistencia por mediación de las sanciones que aplica, con esta libre circulación de información confidencial tiene un gran espacio abonado para efectuar sus actuaciones.

3. También es conocida la gran cantidad de proveedor de dólares que inician las operaciones y no terminan la totalidad del contrato, esto crea un grave perjuicio al proveedor de euros en el apartado logístico.

4. El siguiente paso es asegurar al Facilitador (principal detractor de esta medida por miedo a perder su comisión) el cobro de las comisiones establecidas por la imprescindible y necesaria labor en las operaciones de este tipo, para asegurar el pago de estas comisiones, se deberá cumplimentar la NCNDA + IMFPA a partir del mandatario del dólar hasta el mandatario del euro. Como es el euro quien paga las comisiones, el mandatario del euro firmará y sellará dichos documentos y los cerrará en pdf con código para evitar la manipulación.
Debido a que la no hay número de referencia de operación, es necesario unir la operación por mediación de los mandatario, éstos serán los puntos de unión entre la operación a desarrollar y los Facilitadores participantes.
Esta NCNDA + IMFPA quedará unida a la operación por mediación de los nombres de los mandatarios y la fecha prevista para el cambio, esta vinculación, permitirá al facilitador en el caso de que el euro se negara a pagar las comisiones, la posibilidad de efectuar las reclamaciones judiciales que correspondan, esta posibilidad no se da en las condiciones que se está actuando en estos momentos, ya que al no estar totalmente cumplimentado el contrato de cambio no existe ningún vínculo que asegure que los facilitadores realmente están en la operación.
Para evitar los puntos 1º, 2º y 3º y garantizar el 4º, y si el dólar realmente tiene capital para hacer los cambios y quiere iniciar y terminar los contratos, este procedimiento ofrece todas las garantías necesarias para poder hacer iniciar las transacciones.
Para asegurar que las operaciones de cambio que hagamos sean fructíferas para todos, (Proveedores, mandatarios y Facilitadores) hemos desarrollado el siguiente procedimiento.

TIPOS DE COMPRA / VENTA COMPRA DE DIVISAS DEL EURO QUE REPRESENTAMOS
La sociedad es mandataria del proveedor de euros (euro-mandate) más fuerte de Europa, los tipos de cambio admitido es 20/15, 15/10, 13/9, 10/8, con el procedimiento de L2L, S2S, Ch2Ch.

PROCEDIMIENTO
1. Solicitud por parte del mandatario del dólar para hacer una operación financiera con el texto: "Estamos interesados en iniciar las operaciones financieras el día (mes, día, año) en las condiciones reflejadas en el procedimiento que hemos recibido de ustedes" firmado y sellado por el mandatario.
2. Mandatario del euro envía Carta de invitación al proveedor de dólares. (*)
3. Respuesta del dólar.
Adjuntando:
Envío de pasaportes de los participantes (usd-provider, usd-mandate y oficial bancarios).
Imagen en PDF del CHEQUE BANCARIO (a) que aportarán para garantizar la ejecución total del contrato.
Imagen en PDF del los Pasajes de vuelo de los participantes (en el caso de estar éstos fuera del país).
Pasaportes de los participantes (proveedor de dólares, oficial bancario y mandatario del dólar)
4. Verificación de autenticidad del proveedor del dólar en las instalaciones del euro.
5. Presentación en el banco del euro.
6. Verificación de procedencia lícita del dólar y apertura de la cuenta.
7. Cambio y envío al banco que el dólar quiera, del equivalente en euros por SWIFT.
8. Pago de comisiones a mandatarios y facilitadores.
(*) Características de la invitación
En la carta de invitación figurarán los siguientes datos y no será enviada a ningún Facilitador, únicamente al proveedor de dólares o al mandatario del mismo:
1. Credenciales acreditativas del Mandatario del Euro.
2. Pasaporte del Mandatario de Euro.
3. Fecha para la TTM (Table Top Meeting). (establecida por el mandatario del dólar en su escrito inicial)
4. Lugar de recogida de los visitantes.
5. Banco en el que se efectuarán las operaciones.
6. Garantizar bajo pena de perjurio que el euro está listos, dispuesto y preparado para efectuar la operación de cambio que en la carta de invitación se refleja.
7. Que en ningún caso, el dólar ha solicitado ningún tipo de operación. (con este punto evitamos la solicitación)

a. La utilidad de este CHEQUE BANCARIO será evidenciar la solvencia del dólar.
Esta actuación viene motivada por la cantidad de contratos donde el dólar no tiene el dinero necesario para hacer la operación de cambio, aun que presente una evidencia de solvencia, ya que esta evidencia puede ser FALSA, creada por persona de dudosa honestidad para conocer quien es el proveedor de euros.
Disponemos de una buena cantidad de documentos bancarios FALSOS, esto nos ha llevado a solicitar como evidencia de solvencia un cheque bancario que una vez verificado será devuelto a su propietario.

NOTA:
1. No es necesario verificar el contrato del dólar ni ningún otro tipo de documentos, ya que para la firma en TTM (Table Top Meeting) no sirve ninguno de ellos por su propio contenido, los contratos que circulan por la red están creados para efectuar las operaciones de cambio por Internet y este sistema no es admitido por el proveedor de euros por los motivos expuestos en el inicio de este escrito, el contrato se cumplimentará en la oficina bancaria del euro en Barcelona.
2. En las TTM (Table Top Meeting) no asistirá ningún facilitador, únicamente los providers, mandatarios y oficiales bancarios, los mandatarios harán de PAYMASTERS tanto para el lado dólar (usd-mandate) como para el lado euro (euro-mandate)
3. Si en el momento de efectuar la compra la divisa no puede justificar su procedencia, o éste es ilegal, se avisará de inmediato a la policía de delitos monetarios, también se notificará la identidad de las personas que soliciten una operación de compra de divisas y ésta sea inexistente.

COMISIONES.
Comisión lado euro en 20/15 y 15/10 será del 2,50%, en operaciones de 13/9 y 10/8 será de 2%.
El euro sólo reconoce a un facilitador, a ningún intermediario.
Comisión Facilitador 0,20% del total del cambio.
Este Facilitador será PAYMASTER de la operación para cubrir a los intermediarios que tenga detrás de él.

FACILITADOR Persona que se desempeña como instructor o orientador en una actividad.
INTERMEDIARIO (pasa teléfonos)

Que actúa poniendo en relación a dos o más personas o entidades.

DEFINICIÓN DE LAS PALABRAS MAS UTILIZADAS

FED = Reserva Federal Americana.
La FED no efectúa cambio, utiliza PLATAFORMAS para que éstas lo efectúen.
PLATAFORMA = Instrumento externos a la FED utilizado por ésta para efectuar el cambio de moneda.
USD-PROVIDER = En las operaciones de cambio efectuadas en PLATAFORMAS vinculadas con las normas de la FED el USD-PROVIDER es la FED, pero en los cambios privados el USD-PROVIDER es privado.
En las operaciones de cambio con nuestra sociedad el EUR-PROVIDER está en España así como los euros para el cambio, esto significa que están regulados por el Banco de España y no tienen posibilidad de ser de procedencia criminal, en este saco es el dólar quien tiene que demostrar procedencia ya que no son dólares provenientes de la FED.

Montos y Monedas para las Solicitudes: Mínimo de la Solicitud Crediticia: Entre $ 500.000,oo (quinientos mil dólares americanos) y Sin limitaciones  por cada Proyecto o paquete de Proyectos.

Garantías aportadas por el Cliente para la Solicitud del Crédito: podran utilizarse  los Activos propios del Cliente como una garantía solo colateral. El aval se estructurará mediante garantías financieras con Instrumentos Financieros Avalantes (I.F.A) de 1er. Nivel Mundial, que serán el respaldo real de la solicitud crediticia.





 
Cada paquete de I.F.A, dará opción a una solicitud crediticia -de un Proyecto o varios Proyectos. El Cliente decide el monto crediticio a solicitar por cada paquete de I.F.A adquirido.





 
El Cliente deberá realizar el aporte líquido en dólares americanos (us$) para la compra de dichos IFA’s y podrá -opcionalmente- asegurar ese dinero, mediante una "Póliza de Seguro de Responsabilidad Profesional por Errores u Omisiones" con el Banco HSBC (División HSBC de Seguros, en Londres-Inglaterra). optativo.





 
Adicionalmente, el dinero líquido para la compra de los I.F.A, estará protegido por el propio Banco Financiero mediante la firma de documentos contractuales.





 
Modalidad de Entrega: El Cliente recibe el 100% (cien por ciento) de su solicitud crediticia. Se realiza una unica deduccion, el 15% al dinero a desembolsar por los Bancos Financieros por interes de honorarios y comisiones, gastos administrativos, adelantos u otros conceptos. El Cliente siempre recibirá el monto del desembolso en su Cuenta Corporativa Bancaria.





 
Dicha Cuenta Corporativa Bancaria en conjunto con la Compañía, será constituida inicialmente -para garantizar la transparencia en la Operación Financiera- con nuestro Grupo Consultor Elimar Group en: Islas Caimán (colonia británica), Islas Bahamas (país), Islas Vírgenes Británicas (colonia británica), Islas Turcos y Caicos (colonia británica), Isla de Bermudas (colonia británica) o en Belice (país).





 
Una vez DEVUELTO el CAPITAL, quedará sin efecto la joint-venture y el Cliente dispondrá del 100% del dinero (todo esto quedará notificado por instrucciones previas en el Banco y por escrito).





 
Tiempo de Respuesta para realizar el Estudio del Proyecto y Notificar si se deberá anexar o modificar algún recaudo, a fin de continuar con la tramitación del Crédito: un Plazo máximo de treinta (30) días continuos. Habitualmente es menos, a tenor de cada Proyecto.





 
Período de Tiempo Promedio para la Aprobación y desembolso del Crédito Solicitado: Entre 45 y 90 dias.





 
LOS PLANES DE FINANCIACIÓN

El Cliente tiene opción a escoger cualquiera de los Planes de Financiación que mejor se adapten a sus necesidades y que continuación se describen:

1º) NOMBRE DEL PROGRAMA DE FINANCIACIÓN DEL CFC, O DEL CFCc: mediante J/V.

1a) REQUISITOS PARA EL CLIENTE SOLICITANTE DEL CFC, O DEL CFCc: "Disponer de los fondos para adquirir los IFA’s, para la financiación solicitada por el cliente, y de un proyecto de cualquier tipo.
• Monedas de solicitud del crédito: dólar de EEUU o euro de la Unión Europea (UE).
• Porcentaje de aprobación de las solicitudes crediticias: 100%, si los clientes solicitantes cumplen los requisitos pedidos.
• Referencias de clientes financiados bajo esta modalidad crediticia: sí, (condicionadas y limitadas).

¿CÓMO OPTAR PARA UN CRÉDITO?
1. PLAN DE NEGOCIOS (en inglés y su traducción al español)

Dicho Plan deberá reflejar y desarrollar claramente los siguientes puntos:

• Nombre del Proyecto a ser financiado.
• Explicación detallada del Proyecto.
• Nombre de la compañía solicitante, dirección, teléfono, skype, fax y correo-electronico.
• Nombre completo y edad de los dueños de la compañía y años de experiencia empresarial.
• Campo(s) de negocio en el que está la compañía y antigüedad en el mismo.
• Objetivos de la compañía para los próximos 5 años.
• Descripción pormenorizada de la Compañía solicitante.
• Estructura e historial profesional de la gerencia de la compañía solicitante.
• Explicación del perfil de la clientela de la compañía solicitante.
• Cantidad de Crédito solicitada.
• Explicación detallada de como se va a utilizar el dinero del crédito solicitado.
• Período solicitado; en caso de un Crédito Financiero reembolsable. (Ver Archivo de Crédito Financiero Reembolsable-CFR).
• Proyección de ingresos brutos en dólares para los cinco (5) primeros años, a partir del primer año de la liquidación crédito solicitado.
• Proyección de ingresos netos en dólares para los cinco (5) primeros años, a partir del primer año de la liquidación crédito solicitado.
• Proyección de impuestos en dólares para los cinco (5) primeros años, a partir del primer año de la liquidación crédito solicitado.
• Explicación detallada de la rentabilidad, ingresos y gastos en dólares del proyecto para los próximos cinco (5) años.
• Explicación detallada de la rentabilidad, ingresos y gastos en dólares del proyecto para los próximos cinco (5) años.
• Contratos irrevocables y/o pre-contratos irrevocables (cartas de intención). En ambos casos tienen que reseñar los periodos de validez y montos brutos.




 
2. Escritura constitutiva de la empresa, con traducción al inglés.

3. Referencias comerciales, con traducción al inglés.
4. Fotografías abundantes y nítidas, además de videocintas (en NTSC y PAL) y/o DVDs (para regiones de Europa y EE.UU.) de la Empresa y del Proyecto. Animación en 3-D (opcional, de acuerdo al tipo de Proyecto).

¿CUÁLES SON LOS PASOS A SEGUIR PARA ACCEDER
A UN CRÉDITO FINANCIERO (CF)?

Finalmente, éstos son los PSF (Parámetros de Solicitud de Financiación) que debe seguir un Cliente para solicitar un CFC, CFR o un CFCc, para su Proyecto(s):

PREVIO: Se debe cumplir con las CED: “Cláusulas de Ejecución del Depósito”, según el país. (Ver archivo).
1º) El cliente tiene que aperturar la cuenta bancaria corporativa(primeramente, contactando con uno de los Corporativos de ELIMAR GROUP, para que le dé instrucciones a seguir) la firma de un J/V a dos firmas; la del cliente, y la de una de las compañías asociadas y designada por ELIMAR GROUP para cada proyecto. En los Programas de Financiación de fondos de nivel alto, también requerimos la apertura de una CMI (Compañía Mercantil Internacional).
Asimismo, el Cliente tiene que disponer de us$ 25.000 para proceder a la firma del J/V. y la apertura en persona de su cuenta bancaria corporativa en el banco que se le designara. Lo antes expuesto se valorizara en forma especifica de acuerdo a la modalidad y monto de la capitalizacion aprobada.
Si su nivel fuese alto en el fondeo solicitado, deberá aportar para la CMI cien mil dólares americanos (us$ 100000,oo). Igual a item anterior.




 
2º) Luego, el cliente tiene siete (7) días laborables para transferir, o depositar, en dicha cuenta el coste de los IFA’s, a tenor del MONTO solicitado de CAPITALIZACION. Si no lo hiciera, en el día ocho (8) le cancelaríamos definitivamente su solicitud, y tampoco volveríamos a aceptar ninguna otra suya en el futuro.




 
3º) Luego, el cliente tiene que presentar su proyecto completado, en base a los requisitos pedidos por el mismo. Al efecto de que el cliente no se eternice en la entrega de su proyecto, el cliente dispondrá de un tiempo máximo de quince(15) días naturales para entregar su proyecto.




 
4ª) Si el proyecto estuviera mal preparado, elimar group le daría al cliente, diez (10) días naturales más para corregirlo, con la advertencia al cliente de que si no lo corrigiese en ese plazo máximo, le cerraríamos su solicitud definitivamente.




 
5º) Luego, elimar group le enviará el proyecto del cliente a los Bancos Financieros Financiadores adecuados para cada proyecto.




 
6º) Luego, el cliente, y ELIMAR GROUP, firmarán el "Acuerdo de Financiación del Proyecto" (Project Financing Agreement). Dicha compañía se quedará con el original, y el cliente con una copia del mismo. Y finalmente.




 
7º) A partir de ahí, empezarán a contar los días de espera para recibir en la cuenta el dinero del CFC, CFR y/o del CFCc solicitado por el cliente(s).

NOTAS:
De esa manera, mediante un J/V. se garantizará la transparencia y seguridad -de cara al Cliente y ante los Bancos- de la Operación Financiera. Recuerde, el historial del Grupo con la Banca Financiera es un excelente impulso y aval sólido para gestionar el Crédito del Cliente. Los Clientes sólo pueden acceder a estos Bancos Financieros -para solicitar Créditos Financieros Capitalizables (CFC) con los Grupos Consultores especializados y nunca a título personal. De allí la importancia del J/V. (que es temporal hasta la tramitación y liquidación del Crédito) de los Clientes con nuestro Grupo Consultor ELIMAR GROUP.




 
Recuerde que, dicho J/V., quedará sin efecto una vez que se deposite el dinero del Crédito en la Cuenta -y sin ningún costo para el Cliente- y por instrucciones previamente notificadas por escrito al Banco, en el mismo momento que se apertura dicha Compañía y dicha Cuenta bancaria. Si el Cliente lo desea, podrá seguir utilizando ambas (CIA + Cta. Bancaria) luego de haber recibido su dinero y de haberse disuelto la J/V.




 
Adicionalmente; si el Cliente lo desea, se le asesoraría, para la Contratación de una Póliza de Indemnización Profesional o Seguro de Responsabilidad Profesional por Errores u Omisiones, con el Banco HSBC (División de Seguros HSBC en Londres-Inglaterra). Ahora bien, si el Cliente desea tramitar su Póliza con su Aseguradora de confianza, no habrá problema alguno. Aunque como podrá observar muy bien, por las condiciones de seguridad en toda la Operación, no sería necesaria la utilización de la Póliza; por eso, sólo se maneja opcionalmente.




 
NOTA FINAL IMPORTE: “Si el cliente estuviera interesado (pero solamente después de que completara todos los pasos antedichos, y con condiciones notariadas) podríamos enseñarle la nomina de clientes- empresas-,  que fueron financiados por las compañías designadas por elimar group”.




 
REQUISITOS PARA LAS GARANTÍAS DEL PROYECTO
IMPORTANTE: Las Garantías o Avales, respaldados con bienes inmuebles, terrenos u otros activos del Cliente, serviran como garantias colaterales,  necesarias para los Créditos Financieros (CF’s). Para este tipo de Financiamiento, la Garantía Real y definitiva se estructurará mediante garantías financieras a través de Instrumentos Financieros Avalantes (IFA’s). (Ver Anexos).




 
Asimismo; las Proyecciones del Flujo de Caja de la Empresa solicitante del Crédito, deben estar concatenadas a Pre-Contratos, Cartas de Intención o Contratos Irrevocables firmados con sus Clientes.




 
Dicho Flujo de Caja deberá reflejar como mínimo, un Ratio (proporción) de 2 a 1; esto es: por cada un (1) dólar que se solicite, deberán reflejarse dos (2) dólares -como mínimo- en las Proyecciones de Ingresos Netos de la Empresa Solicitante del Crédito, al final de primeros diez (10) años de vida del Proyecto.




 
Como podrá darse cuenta, cualquier buen Proyecto, cumplirá muy fácilmente con esta condición.

LAS GARANTIAS QUE AVALARÀN EL CRÈDITO SON:




 
• Adquisición -compra- de los Instrumentos Financieros Avalantes (IFA’s), a fin de avalar toda la Operación crediticia.
• Contratos firmados con Clientes. Estos Contratos deben ser, Contratos y/o Precontratos Irrevocables (al menos, Cartas de Intención).
• Proyecto aprobado por el Grupo Elimar Group.

 
EJEMPLO CLÁSICO PARA COMPRENDER LA MODALIDAD DE LOS CRÉDITOS FINANCIEROS INTERNACIONALES:

“VAMOS A PONERLE UN EJEMPLO REAL, PARA SU MEJOR COMPRENSIÓN”:

"SUPONGAMOS QUE USTED, AMIGO EMPRESARIO O AMIGO EMPRENDEDOR, SOLICITA UN CRÉDITO POR SESENTA (60) MILLONES DE DÓLARES PARA SU PROYECTO".

ENTONCES, A TENOR DEL RATIO DE INGRESOS QUE DEBERÀ GENERAR SU PROYECTO, ESTE DEBERÀ GENERAR INGRESOS NETOS TOTALES POR 120 MILLONES DE DÒLARES EN UN TOTAL DE 10 AÑOS; ES DECIR, UNA PROPORCION DE 2:1 AL FINAL DE ESOS AÑOS. (PARA ESTE EJEMPLO).

ASÌ ENTONCES, EL CLIENTE TENDRÁ QUE DISPONER LO SIGUIENTE:

• DISPONIBILIDAD FINANCIERA LÍQUIDA PARA LA COMPRA DE LOS INSTRUMENTOS FINANCIEROS AVALANTES (I.F.A’S).

• UN PROYECTO SÓLIDO Y RENTABLE EN EL TIEMPO.

• CONTRATOS IRREVOCABLES O CARTAS DE INTENCION (INDISPENSABLES) FIRMADOS ENTRE: LA COMPAÑÍA SOLICITANTE DEL CRÉDITO Y SUS CLIENTES.

• LA COMPAÑÍA SOLICITANTE DEL CRÉDITO, DEBERÁ TENER INGRESOS NETOS DESPUÉS DE IMPUESTOS POR 120 MILLONES DE DÓLARES, (PARA ESTE EJEMPLO) COMO MÌNIMO, AL FINAL DE LOS PRIMEROS DIEZ (10) AÑOS DE EJERCICIO FISCAL; O SEA, UN RATIO DE 2:1 AL TÉRMINO DE DICHO PLAZO.

 
NOTAS IMPORTANTES:

• EL CLIENTE DEBE TENER EN CUENTA QUE, ES NECESARIO QUE PRESENTE GARANTÌAS DE SUS PROPIEDADES, TERRENOS Y/U OTROS ACTIVOS, LO CUAL ES UN “EXCELENTE INCENTIVO” Y UNA PARTE IMPORTANTE DE TODA LA OPERACIÓN; ADEMÁS, EL CLIENTE PODRÁ OPTAR POR NO CANCELAR EL CRÉDITO SOLICITADO. RECUERDE QUE, LOS INSTRUMENTOS FINANCIEROS (I.F.A) SON LOS VERDADEROS AVALES DE TODA LA OPERACIÓN CREDITICIA.

• SI LA OPERACIÓN ESTÁ AVALADA MEDIANTE LOS INSTRUMENTOS FINANCIEROS Y SI EXISTE UN PROYECTO SÓLIDO CON TODOS LOS REQUISITOS SOLICITADOS MENCIONADOS CON ANTELACIÓN, LA SOLICITUD CREDITICIA SERÁ APROBADA DE FORMA AUTOMÁTICA.

• TODO EL PROYECTO -O CONJUNTO DE PROYECTOS-, TIENE QUE VENIR ENTERAMENTE EN INGLES, CON SU TRADUCCIÓN AL ESPAÑOL. EN ESTE SENTIDO, SE SUGIERE UNA EMPRESA PRESTIGIOSA (PREFERIBLEMENTE LA SUGERIDA POR NUESTRO REPRESENTANTE) DE TRADUCCIONES DE ESPAÑOL A INGLÉS DE NEGOCIOS (CUYOS HONORARIOS LOS PAGARÁ SIEMPRE EL CLIENTE SOLICITANTE). TODO ESTO CON LA FINALIDAD DE EVITAR TRADUCCIONES PÉSIMAS, COSA MUY FRECUENTE EN LA TRAMITACIÓN DE LOS CRÉDITOS INTERNACIONALES Y QUE RETRASA LA TRAMITACIÓN DE TODA LA OPERACIÓN.

• TODAS LAS CONDICIONES SON ALTAMENTE FAVORABLES PARA LOS CLIENTES SOLICITANTES INTERESADOS EN EL FINANCIAMIENTO; TODO ESTO CON LA FINALIDAD DE FOMENTAR ESTA MODALIDAD DE CRÉDITOS FINANCIEROS INTERNACIONALES PARA PROYECTOS DE CUALQUIER TIPO EN LATINOAMÉRICA Y EL MUNDO. LA TRAMITACIÓN DEL CRÉDITO ES SENCILLA, SIEMPRE Y CUANDO EL CLIENTE CUMPLA CON LOS RECAUDOS EXIGIDOS, EVITANDO PÉRDIDAS DE TIEMPO INNECESARIAS.

• LOS EMPRESARIOS O EMPRENDEDORES, CONTARÁN CON UNA ASESORIA PLENA PARA LA TRAMITACIÓN DEL CRÉDITO POR PARTE DE NUESTRO BFI(BROKER FINANCIERO INTERNACIONAL).

 
¿PERO, CÓMO SE ESTRUCTURA EN REALIDAD UNA
OPERACIÓN FINANCIERA DE ESTE TIPO?

 
1º) El Representante del Cliente solicitante -ELIMAR GROUP- solicita a nombre del Cliente un Crédito Empresarial, Social, Científico o Mixto para su Proyecto, en cualquier Banco Financiero Financiador (BFF) de Primer Nivel. El Banco muestra interés por el Proyecto, pero le dice al Representante que a menos que el Proyecto esté avalado totalmente, no le puede conceder a su Cliente el Crédito solicitado.

 
2º) Entonces el Representante del Cliente le hace la siguiente pregunta al Banco: “¿Aprobaría UD. la solicitud de mi Cliente si puedo traerle a su institución Instrumentos Financieros Avalantes (I.F.A) sólidos que avalen en un 500% la totalidad del dinero que mi Cliente le solicita?” El Banco dirá que sí, sin dudarlo.

 
3º) A continuación el Representante del Cliente concertará con el Banco una cita en la que le llevará dichos Instrumentos -y el Proyecto del Cliente- en un plazo máximo de treinta (30) días, aproximadamente.

 
4º) Llegado el plazo, el Representante del Cliente presenta al Banco todo lo antedicho y además un documento -en inglés- llamado Acuerdo de Financiación Avanzada, que es la estructuración del Crédito Financiero, realizado mediante una operación de Ingeniería Financiera. Dicho Documento se confeccionan a la medida las necesidades crediticias de cada Cliente solicitante.

 
5º) En el Documento se le presentará al Banco los siguientes elementos financieros, al efecto de lograr la financiación para el Cliente y de eliminar el riesgo para el Banco:

• Certificados de Depósito (CD) y otros Instrumentos Financieros Avalantes (IFA) que se adquieren a nombre del Cliente. Estos Instrumentos se adquieren con dinero líquido, que el Cliente solicitante tiene que abonar en una Cuenta Bancaria, en cualquiera de los 150 Bancos más importantes del Mundo, manejados a nuestra entera satisfacción.

• La estructura del CD -y de los Instrumentos Financieros- se asigna al Crédito solicitado por el Cliente y se reasigna también irrevocablemente al Banco durante el período completo de validez del CD -y de los Instrumentos Financieros- como aval líquido principal del Crédito solicitado. El CD -y los Instrumentos Financieros- es recuperado por el Banco al vencimiento del Crédito aprobado, para cobrar el total del dinero prestado por aquel. Esta combinación de Instrumentos Financieros hace que la operación sea segura y que el Banco asegure los fondos del Crédito que desembolsa, puesto que los está cobrando anticipadamente mediante los Instrumentos Financieros -a 10 años vista, más los intereses- en el mismo momento en que libera los fondos del Crédito aprobado.

• Como elemento financiero adicional de protección para el Banco, el Representante le presentará al Banco su Programa Blindado de Ganancias e Intereses. Esta es otra parte de la operación de Ingeniería Financiera para avalar al 500% la Solicitud Crediticia del Cliente ante los Bancos Financieros.

• Otro elemento financiero de seguridad para el Banco es que, el 25% de los Instrumentos Financieros Avalantes adquiridos -a nombre del Cliente, como siempre- se utilizarán para adquirir un Instrumento Financiero llamado Bonos del Tesoro -Cupón Cero- de países europeos de grandes y sólidas economías. Dichos Bonos también serán depositados en el Banco y controlado por el mismo. Las ganancias generadas por dicho Instrumento Financiero, se asignarán al Banco en una Cuenta Cautiva del Cliente, como parte del Pago Blindado de Intereses, con el fin de saldar todos los pagos anuales de interés adeudado por el Cliente solicitante, hasta el final del Crédito aprobado.

• La combinación de Instrumentos Financieros de Opciones -sobre los Bonos del Tesoro adquiridos- y Futuros y las estrategias aplicadas por el Representante en base a estos dos (2) Instrumentos Financieros, generarán Ingresos Premium trimestralmente y semestralmente, los cuales se transferirán a la Cuenta Cautiva del Cliente -controlada por el Banco- con el fin que dichos fondos se acumulen en un Fondo de Amortización para que paguen el Crédito aprobado. Las condiciones de dicho Fondo también las acordará el Representante con el Banco.

• Todos los elementos de esta Operación de Ingeniería Financiera se asignarán al Banco y servirán como Instrumentos Financieros de elevado rendimiento asegurado, para que el Banco preste atención a la Operación de Ingeniería Financiera, primordialmente y al Proyecto del Cliente, secundariamente.

• Otro elemento financiero que el Representante le presentará al Banco es la Cartera Apalancada, que aportará al Banco fondos adicionales a través de todos los pagos de interés anual acumulados, que se obtendrán a través de la combinación y gestión de los Instrumentos Financieros expuestos en esta descripción pormenorizada de la Operación.

• El 54% de los fondos generados por el valor facial (valor real) del CD -y de los Instrumentos Financieros- son destinados al aval para el Banco.

• El Cuerpo (Principal) del CD -y de los Instrumentos Financieros- se asigna irrevocablemente al Banco, para garantizar el Capital del Crédito aprobado y desembolsado al Cliente solicitante por el Banco.

 
6º) Recuérdese que, una misma solicitud crediticia se podrán involucrar varios Proyectos y entre ellos aportarán el monto equivalente para la compra de un (1) paquete de IFA’s. Así entonces, se liquidará la suma total solicitada y a cada Proyecto le corresponderá su cantidad ponderada correspondiente.

 
7º) El Cliente solicitante siempre recibirá el 100% de la cantidad de Crédito solicitada.

 
8º) El Cliente solicitante también tendrá que firmar -y hacer notariar- al Representante varios Documentos Confidenciales pertinentes a la negociación del Crédito solicitado. Todos los Documentos estarán redactados en inglés.

 
9º) Tenemos referencias de Clientes satisfechos que están dispuestos a constatar que fueron financiados por nosotros.

 
10º) Si el Cliente cuenta con un sólido Proyecto de acuerdo a los requisitos y recaudos solicitados para el mismo, pero no dispone del dinero líquido para la compra de los Instrumentos Financieros Avalantes (I.F.A); queda sobreentendido que no podrá optar al Financiamiento bajo ninguna circunstancia.

 
NOTA: Nuestro Grupo nunca financia el aporte de dinero líquido para la compra de los Instrumentos Financieros. Las Condiciones de esta modalidad crediticia no podrán ser modificadas; por lo que, si el Cliente no cumple con el 100% de los recaudos exigidos, no podrá realizar los trámites iniciales de consultas ni tramitación inicial del Crédito.

GLOSARIO
Las siglas "CFC" significan "Crédito Financiero Capitalizable"; es decir, que no es reembolsable por los clientes solicitantes a los bancos financieros Financiadores que los conceden, ni tampoco los clientes solicitantes tienen que pagar intereses por los mismos.

 
Las siglas "CFC’c" significan "Crédito Financiero Cooperativizado", que es lo mismo que lo anterior, pero para un conjunto de varios Proyectos agrupados en una (1) misma solicitud de un (1) mismo cliente. También es aplicable para clientes distintos con distintos Proyectos, agrupados en una misma solicitud crediticia.

 
Las siglas "IFA’s" significan "Instrumento Financiero Avalante", que son avales financieros que adquirimos a nombre de los clientes. Estos avales sirven para que los Bancos Financieros Financiadores financien siempre los CFC's y los CFC'c solicitados por los clientes, con proyectos de cualquier tipo.

 
A continuación, he aquí la explicación de cómo estructuramos los CFC’s y los CFC’c, mediante los IFA’s. En este sentido, es importante mencionar que lo que hacemos es adquirir los IFA’s a nombre de los clientes solicitantes de los CFC’s y CFC’c, pero siempre en base a lo que los bancos financieros Financiadores requieran de IFA’s para financiar los CFC’s y los CFC’c.

 
Actualmente; los IFA’s que se utilizan principalmente, son los siguientes:
• Certificados Financieros de depósito.
• Gilts Británicos.
• Debentures Convertibles.
• Bonos del Tesoro de Estados Unidos, de la categoría Cupón Cero.
• Opciones de Fondos Hedge.
• ADR’s (American Depository Receipts).
• Bonos Convertibles del tipo Blue Chip, de multinacionales grandes.
• Derivativos.
• Leverages.
• Eurodólares.
Mediante la combinación de los IFA’s mencionados (a través de operaciones de Ingeniería Financiera), creamos un "Flujo de Ganancia Rediticia" (FGR), válido por 10 años, para los bancos financieros Financiadores que financian los CFC's y los CFC'c.

 
Con estos IFA’s los bancos financieros Financiadores de los CFC’s y los CFC’c hacen posteriormente negocios con otros bancos financieros (por 10 años, que es el tiempo de validez de los IFA’s), en los mercados secundarios de descuentos de los IFA’s, en centros financieros tales como Zúrich, Londres, Nueva York, o Hong Kong, entre otros.

 
Nuestros PFE(planes de financiacion estructurados), le permiten a los bancos financieros Financiadores de los CFC’s y CFC’c ganar un ratio (proporción) de 5 a 1; es decir, por cada dólar o euro concedido a los clientes solicitantes de CFC’s y de CFC’c, los bancos financieros Financiadores de los CFC’s y CFC’c ganan 5 dólares o euros durante 10 años, mediante operaciones de descuento con otros bancos financieros.

 
Por ejemplo, si un Banco financiero financiador financia un CFC o un CFCc por 20 millones de dólares o euros, el banco financiero ganará 100 millones en el transcurso de 10 años.
 
Esa es la razón principal por la cual, los Clientes solicitantes no tengan que devolver a los Bancos Financieros Financiadores (BFF), el dinero concedido en los CFC’s y/o en los CFC’c aprobados, ni tampoco tengan que pagar los intereses de este dinero liquidado u otra asignación derivada o implícita de los mismos.

THIS CONFIDENTIALITY AGREEMENT, hereinafter AGREEMENT, is dated on this twenty day of September of 2004, by and between: BA-MA, P.A., hereinafter THE ADVISOR, at address at calle Adelantado de la Florida, 11-3º dcha., 33010, in the city of Oviedo, Principality of Asturias, and in the country of Spain, and MA JE DA MA, hereinafter THE AGENT at address at Calle Páez con Calle Rondón, Conjunto La Trinidad, Torre La Guairita “C”, Piso 12, Nº 125, Baruta. Municipio Baruta, Estado Miranda, in the city of Caracas, and in the country of Venezuela.

For the mutual covenants contained herein, and for other good and valuable considerations, the receipt and sufficiency of which is hereby acknowledged, the parties to this AGREEMENT agree to the following clauses:

1) BACKGROUND.

THE AGENT has requested certain confidential and proprietary information of THE ADVISOR, for the purposes of evaluating a transaction or transactions, hereinafter TRANSACTION, between the parties to this AGREEMENT. As a condition precedent to providing any such confidential, and/or proprietary information, and continuing to negotiate the terms of the TRANSACTION, THE ADVISOR require herein THE AGENT to execute this AGREEMENT, and abide by the terms hereof.

2) CONFIDENTIAL INFORMATION.

As used in this AGREEMENT, confidential information shall mean all tangible, and intangible, non public-domain information in any form, including, but not limited to, written information, oral statements, visual observations of THE ADVISOR´s business operations, and/or national, and/or international business contacts, and/or any unauthorized direct or indirect verbal, or written approach, and/or any attempt to approach the business contacts of THE ADVISOR, at their business premises, and/or at THE ADVISOR´s business contacts´s premises. Also included in this confidential information is any


information concerning THE ADVISOR´s trade secrets, business systems, know-how, products, processes, including manufacturing processes, inventions, computer software programs, marketing, sales techniques, financial conditions, and/or structures, costs, any business interests, initiatives, objectives, plans, strategies, clients, lenders, suppliers, underwriters, vendors, consultants, independent contractors, attorneys, accountants, employees, representatives, and/or all other information identified by THE ADVISOR as confidential and/or proprietary, or deemed confidential, protected, a trade secret, or proprietary, under applicable national, and/or international laws.

3) CONFIDENTIALITY AND USE.

(a) THE AGENT agrees that it:

(i) shall not directly, or indirectly disclose, or make available any confidential information to any person, company, corporation, government agency, or any other entity, (collectively, a Person), other than to THE AGENT´S attorneys, accountants, notaries, or as otherwise required by national, and/or international laws;

(ii) shall protect and keep the confidential information in the strictest confidence, and disclose it only to its employees who need to know such confidential information to evaluate the TRANSACTION, or to perform the obligations of THE AGENT, under any TRANSACTION between the parties to this AGREEMENT;

(iii) shall use the confidential information solely for the purpose of evaluating the TRANSACTION, and performing the obligations of THE AGENT, under any TRANSACTION, between the parties to this AGREEMENT, not in any fashion that is detrimental to THE ADVISOR;

(iv) shall not copy or reproduce any confidential information, or remove any confidential information from THE ADVISOR´s business premises without THE ADVISOR´s prior written consent, and;

(v) shall not make notes, abstracts, or any other documents, or materials regarding, or containing any confidential information, without THE

ADVISOR´s prior written consent.

(b) Notwithstanding the foregoing, it is understood and agreed that this AGREEMENT will not prevent THE AGENT from using, or disclosing, in a manner not inconsistent with this AGREEMENT, any confidential information which THE AGENT may show:

(i) to have available to the public, or trade, prior to THE AGENT having received the confidential information, or which becomes, or became, available to the public, or trade, after THE AGENT received the confidential information, in a manner not in breach of this AGREEMENT;

(ii) to have independently developed, as a result of its own efforts, and not as a result of disclosure of the same information by THE ADVISOR;

(iii) is, at any time, lawfully received by THE AGENT from a source other than THE ADVISOR, provided that such source is not thereby in breach of any obligation of confidence to THE ADVISOR; or

(iv) is to be required to be disclosed by THE AGENT, by law, pursuant to subpoena, or other legal process.

4) Return of Confidential Information.

THE AGENT shall promptly deliver to THE ADVISOR all confidential information, including all copies, and excerpts thereof, and all documents, and materials containing any confidential information, upon the termination of negotiations, or business dealings between the parties to this AGREEMENT, whichever is later to occur.

5) Proprietary Rights.

The confidential information is, and shall at all times remain, the sole, and exclusive property of THE ADVISOR, and no right, title, interest, or license in, or to such confidential information is conveyed, granted, or conferred upon, to THE AGENT, with respect to such confidential information, for the sole purpose of of evaluating the TRANSACTION, in accordance with the terms hereof, and performing the obligations of THE AGENT, under any TRANSACTION between the parties to this AGREEMENT. THE ADVISOR is



not obligated to disclose any confidential information to THE AGENT, and THE ADVISOR makes no representations, or warranties, express, or implied, regarding the confidential information, or the accuracy, completeness, or timeliness thereof.

6) Equitable Relief.

(a) Any breach of this AGREEMENT by THE AGENT will cause THE ADVISOR irreparable harm for which there shall be no adequate legal remedy. In the event of any actual, or threatened breach of this AGREEMENT by THE AGENT, THE ADVISOR shall be entitled to injunctive, and all other appropriate equitable relief, including a decree of specific performance, without being required to:

(i) show any actual damage, or irreparable harm;

(ii) prove the inadequacy of its legal remedies, or;

(iii) post any bond, or other security.

(b) If THE AGENT breaches this AGREEMENT, THE ADVISOR shall also be entitled to an accounting and repayment of all profits, compensation, and benefits directly, or indirectly realized by THE AGENT, as a result of such breach. THE ADVISOR´s remedies in this Clause 6 may be exercised without prejudice to, and are cumulative with, THE ADVISOR´s other available rights, and remedies at law, in equity, or under this AGREEMENT, including THE ADVISOR´s right to monetary damages arising from any breach of this AGREEMENT by THE AGENT.

7) Idemnity.

THE AGENT shall release, defend, indemnify, and hold THE ADVISOR harmless of, and from all damages, direct, consequential, or otherwise, claims, losses, causes of action, liability, costs, including attorneys fees, and experts fees at trial, and on appeal, and expenses arising out of, or relating to any breach of this AGREEMENT by THE AGENT.

8) Term and Scope.

(a) This AGREEMENT, and the obligations imposed upon THE AGENT


hereunder, shall:

(i) exist, and continue until 10 (ten) years after the later of the date hereof, and the date the parties to this AGREEMENT no longer have any contract, or business relationship between them;

(ii) exist, and continue, irrespective of whether THE AGENT, and THE ADVISOR enter into the TRANSACTION, and;

(iii) be independent of either party’s performance, or failure to perform with respect to the TRANSACTION.

(b) The existence of any claim, or cause of action by THE AGENT against THE ADVISOR, whether predicated on this AGREEMENT, or otherwise, shall not constitute a defense to the enforcement by THE ADVISOR of any of the provisions of this AGREEMENT.

(c) The restrictions, and remedies set forth in this AGREEMENT are fair, and reasonable, and are reasonably required for the protection of the trade secrets, good will, and other legitimate business interests of THE ADVISOR. In the event that any court of competent jurisdiction determines that any provision of this AGREEMENT exceeds the maximum time period, or scope enforceable under applicable law, said provision shall be deemed automatically reformed to reflect the maximum enforceable time period, or scope permitted under applicable law, which reformation shall be retroactive to the date of this AGREEMENT first set forth above.

9) Enforcement Costs.

In the event of any action, or proceeding relating to the interpretation, or enforcement of this AGREEMENT, or any breach hereof, the prevailing party in such action, or proceeding shall be entitled to recover from the other party to this AGREEMENT all court costs, expenses, and reasonable attorneys´ fees, including all pre-trial, trial, and appellate proceedings incurred by the prevailing party in that action, or proceeding, in addition to any other relief to which such prevailing party may be entitled.


10) Notices.

All notices, demands, requests, and consents given under this AGREEMENT shall be:

(i) in writing;

(ii) mailed to the parties, via courier company mail, at the addresses listed on the first page hereof, and;

(iii) effective, in the case of mailing it/them via urgent courier company mail, 1 (one) business day after mailing it/them with any courier company, for delivery on the next business day.

11) Miscellaneous.

(a) This AGREEMENT represents the complete, and final understanding, and agreement between the parties to it, with respect to the subject matter hereof, and supersedes all other negotiations, understandings, and representations, if any, made by, or between such parties.

(b) This AGREEMENT may be amended only by way of a written document making specific reference to this AGREEMENT, and signed by the party against whom enforcement is sought.

(c) This AGREEMENT shall inure to the benefit of, and be binding upon, the parties to it, and their respective heirs, administrators, legal representatives, successors, and assigns. No waiver of any term, provision, right, or covenant in this AGREEMENT, nor any consent by either party to it, to the other party’s departure from the terms hereof, shall be valid, or enforceable, unless such waiver is in writing, and signed by the party against whom enforcement is sought, and then shall apply only to the specific term, provision, right, or covenant identified in such waiver on that particular instance. THE AGENT shall not assign, or delegate its rights, or obligations hereunder, without the prior written consent of THE ADVISOR, and any attempt to do so shall be void.

(d) This AGREEMENT shall not be construed more strictly against one party than against the other, merely because it may have been prepared by counsel for one of the parties, it being recognized that both parties have contributed


substantially, and materially to its preparation.

(e) This AGREEMENT may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one, and the same instrument.

(f) Nothing contained in this AGREEMENT shall obligate either party to it, to enter into the TRANSACTION, or take any other action with respect thereto.

12) Governing Law.

Any dispute arising out of, or relating to this AGREEMENT shall first be brought to the American Arbitration Association. In the event Arbitration is unsuccessful, the dispute shall be brought to the city, and the state of choice of the defending party, within the United States of America.

For the mutual covenants contained herein, and for other good and valuable considerations, the receipt and sufficiency of which is hereby acknowledged, the parties to this AGREEMENT agree to the following clauses:


1) BACKGROUND.


The CLIENT has formally requested the ADVISER certain confidential and proprietary information of the ADVISER, for the purpose of submitting the ADVISER a project-financing request. Financing is always made by the ADVISER´s designated financial banks under procedures established for financial-loan structures, hereinafter the LOAN. As a condition precedent to providing any such confidential, and/or proprietary information, and continuing to negotiate the terms of the LOAN, the ADVISER requires herein the CLIENT to execute this AGREEMENT, and abide by the terms hereof.

2) CONFIDENTIAL FINANCIAL-LOAN INFORMATION.

As used in this AGREEMENT, confidential financial-loan information, hereinafter INFORMATION, shall mean all tangible, and intangible, non public-domain information in any form, including, but not limited to, any written information, oral statements, visual observations of the ADVISER´s business operations, and/or national, and/or international business contacts, and/or any unauthorized direct or indirect verbal, or written approach, and/or any attempt to approach the business contacts, and/or business associates of the ADVISER, at their business premises, and/or at the ADVISER´s business contact’s premises. Also included in this INFORMATION is any information concerning the ADVISER´s trade secrets, business systems, know-how, products, processes, including loan-structuring procedures, loan-related computer software programs, marketing, sales techniques, financial conditions, and/or loan structures, costs, any business interests, initiatives, objectives, plans, strategies, clients, lenders, underwriters, consultants, independent contractors, attorneys, accountants, employees, representatives, and/or all other information identified by the ADVISER as confidential and/or proprietary, or deemed confidential, protected, a trade secret, or proprietary, under applicable national, and/or international laws.


3) CONFIDENTIALITY OF THE FINANCIAL-LOAN PROCEDURES AND USES.

The CLIENT agrees that he/she:

(i) shall not directly, or indirectly, disclose, or make available any part of the INFORMATION to any person, company, corporation, government agency, or any other entity, (collectively, a person), other than to the CLIENT´s attorneys, accountants, notaries, or as otherwise required by national, and/or international laws;

(ii) shall protect and keep the INFORMATION in the strictest confidence, and disclose it only to his attorneys, accountants, or notaries who compulsorily need to know such INFORMATION to prepare the LOAN, or to perform the obligations of the CLIENT, under any LOAN procedure among the parties to this AGREEMENT;

(iii) shall use the INFORMATION solely for the purpose of preparing the LOAN, and performing the obligations of the CLIENT, under any LOAN procedure between the parties to this AGREEMENT, not in any fashion that is detrimental to the ADVISER;

(iv) shall not copy or reproduce any part of the INFORMATION, or remove any part of the INFORMATION from the ADVISER´s business premises, or designated premises agreed by the CLIENT and the ADVISER, without the ADVISER´s prior written consent, and;

(v) shall not make notes, abstracts, or any other documents, or materials regarding, or containing any part of the INFORMATION, without the ADVISER´s prior written consent.

4) RETURN OF THE INFORMATION.

The CLIENT shall promptly deliver to the ADVISER all the INFORMATION, including all copies, and excerpts thereof, and all documents, and materials containing any part of the INFORMATION, upon the termination of negotiations, or business dealings among the parties to this AGREEMENT, whichever is later to occur.
5) PROPRIETARY RIGHTS.

The INFORMATION is, and shall at all times remain, the sole, and exclusive property of the ADVISER, and no right, title, interest, or license in, or to such INFORMATION is conveyed, granted, or conferred upon, to the CLIENT, with respect to such INFORMATION, for the sole purpose of preparing the LOAN, in accordance with the terms hereof, and performing the obligations of the CLIENT, under any LOAN procedure between the parties to this AGREEMENT. The ADVISER is not obligated to disclose any part of the INFORMATION to the CLIENT, and the ADVISER makes no representations, or warranties, expressed, or implied, regarding the INFORMATION, or the accuracy, completeness, or timeliness thereof.

6) EQUITABLE RELIEF.

(a) Any breach of this AGREEMENT by the CLIENT will cause the ADVISER irreparable harm for which there shall be no adequate legal remedy. In the event of any actual, or threatened breach of this AGREEMENT by the CLIENT, the ADVISER shall be entitled to injunctive, and all other appropriate equitable relief, including a decree of specific performance, without being required to:

(i) show any actual damage, or irreparable harm;

(ii) prove the inadequacy of its legal remedies, or;

(iii) post any bond, or other security.

(b) Should the CLIENT breach this AGREEMENT by unilaterally, and/or arbitrarily deciding to interrupt the LOAN procedure began formally on his/her behalf by the ADVISER, the ADVISER shall also be entitled to an accounting and repayment of all profits, compensation, and benefits directly, or indirectly realized by the CLIENT, as a result of such breach. The ADVISER´s remedies in this Clause 6 may be exercised without prejudice to, and are cumulative with, the ADVISER´s other available rights, and remedies at law, in equity, or under this AGREEMENT, including, but not limited to, the ADVISER´s right to withhold in full the agreed monetary amount given by the CLIENT to the ADVISER, for the purpose of acquiring on the CLIENT´s behalf the appropriate collateralizing financial instruments, hereinafter INSTRUMENTS, to collateralize completely the CLIENT´s LOAN amount requested, to finance the CLIENT´s project in full.

7) THE FINANCIAL LOAN STRUCTURING FOR FINANCING THE CLIENT´S PROJECT.

The LOAN will be structured and collateralized always by applying to it the adequate INSTRUMENTS, usually Certificates of Deposit, issued by international financial banks. However, other sound INSTRUMENTS may also be used for the same purpose, as deemed appropriate by the ADVISER. The LOAN will always be structured with INSTRUMENTS-based collaterals covering 500% (five hundred percent) of the LOAN´s total gross amount requested by the LOAN-applicant CLIENT.

8) COST OF THE INSTRUMENTS AND PAYMENT PROCEDURE BY THE CLIENT.

The LOAN-applicant CLIENT will pay for the costs of acquiring the INSTRUMENTS needed to collateralize his/her LOAN request. The CLIENT will pay the ADVISER in full and cash the cost to acquire the INSTRUMENTS, upon the signing of this AGREEMENT by the CLIENT and the ADVISER. The cost of acquiring the INSTRUMENTS needed for collateralizing a LOAN ...................... Any LOAN amount higher than .............will require the additional acquisition of INSTRUMENTS for collateralization purposes, and the cost of these additional INSTRUMENTS will be another U.S..........

The cost of the INSTRUMENTS will remain the same, as stated herein, until the completion of the LOAN´s financing procedure.

9) TYPES OF FINANCIAL LOANS.

A) A NO-PAYBACK FINANCIAL LOAN is a LOAN being paid off completely to the ADVISER´s designated funding financial banks by the collateralizing INSTRUMENTS over a 10-year (ten) period. The CLIENT will receive 100% (one hundred percent) of the total gross amount of the LOAN requested to the funding financial bank designated by the ADVISER on behalf of the CLIENT´s project approved by the ADVISER. The CLIENT does not have to repay the LOAN given to him/her by the designated funding financial bank, nor pay any interest on the LOAN either.

10) LOAN TRANSFER AND TRANSFER TIMESPAN.

The LOAN will be transferred by the designated funding financial bank into a three-sign (the CLIENT, the ADVISER´s AGENT, and the ADVISER) corporate account of an International Business Company, hereinafter IBC, located in a foreign jurisdiction chosen by the funding financial bank designated by the ADVISER for financing the CLIENT´s approved project. The LOAN will be transferred in a maximum of 150 (one hundred and fifty) calendar days, from the signing of this AGREEMENT by the parties to it, and the transferring by the CLIENT of the funds required, which, at present, are U.S.$........

11) THE ADVISER´S AGENT FOR THIS AGREEMENT.

James Peterson, who is the legal representative of Unlimited Resources, Inc.., hereinafter the ADVISER´s AGENT, is herein acknowledged as the ADVISER´s sole agent for all matters concerning this LOAN procedure, and/or for the negotiations related to it with the CLIENT.
Unlimited Resources, Inc. is a company duly registered in ........

12) CONDITIONS APPROVED FOR FINANCING THE PROJECT.

The CLIENT has presented a project and requested a LOAN for it to the ADVISER´s AGENT, and the ADVISER´s AGENT, and the ADVISER have reviewed the project, and the ADVISER has approved it for a LOAN of U.S.$........., as requested by the CLIENT, under the following conditions, accepted herein by the CLIENT:

a) In order to initiate the LOAN procedure, the CLIENT will return to the ADVISER´s AGENT the AGREEMENT, signed and duly notarized, and also the documentation, as necessary to open an IBC, and linked corporate account, under the conditions set forth in the AGREEMENT.

Under separate direct instructions, the ADVISER´s AGENT will inform the CLIENT on the funds required to initiate the LOAN procedure, and also to cover legal, administrative, processing, and travel expenses of the ADVISER´s AGENT.

These funds will have to be transferred by the CLIENT to an ADVISER´s AGENT designated account.

Subsequently, the CLIENT will be promptly notified by the ADVISER´s AGENT when the IBC, and linked corporate account are ready, for the CLIENT to proceed to transfer the funds necessary for the ADVISER to acquire the Financial-Loan Guarantees for the CLIENT´s project, and then initiate the CLIENT´s LOAN funding procedure, as stated in the AGREEMENT.

It is time-critical that the funds necessary for the Financial-Loan Guarantees, be transferred into the IBC-linked corporate account, under the LOAN procedure conditions set forth in the AGREEMENT, prior to the validity expiration date shown on the AGREEMENT.

Therefore, the CLIENT must initiate the LOAN procedure conditions, as stated below, at least two weeks prior to the validity expiration date of the AGREEMENT.

For any additional U.S.$..... million tranches the CLIENT will pay in advance the ADVISER U.S.$...... after the signing of this AGREEMENT by the parties to it, and under the LOAN procedure accepted herein by the CLIENT.

k) The LOAN procedure involves the completion of the following steps by the CLIENT:

1st) Sending his/her project to the ADVISER´s AGENT for his reviewing and later approval by the ADVISER, if done under the ADVISER´s project-making parameters, which the ADVISER´s AGENT has clearly described the CLIENT in an organized, step-by-step manner, and at the same time;

2nd) Opening a three-sign, International Business Company, hereinafter IBC, and a three-sign, corporate bank account linked to the IBC, both of them under the conditions set forth in this AGREEMENT.

3rd) The three parties signing the IBC, and the corporate bank account linked to the IBC are: a) the CLIENT, or a legally-empowered representative for him/her, b) the ADVISER´s AGENT, and c) the ADVISER.

4th) Paying in advance the ADVISER U.S.$..... under the conditions set forth, and accepted by the CLIENT in this AGREEMENT, and after signing this AGREEMENT by the parties to it, and under the LOAN procedure accepted herein by the CLIENT.

5th) The IBC and its corporate bank account linked to it cannot be operated without the three signatures of the three signing parties, as stated in the previous Clause 4.

6th) The foreign jurisdiction to be used for the opening of the IBC and the linked corporate bank account is the British Virgin Islands. The designated bank´s name and address for receiving the LOAN requested and approved for the CLIENT is the ......Bank This bank is not the designated funding financial bank, and does not have any relation to it.

7th) The lawyer to be used for the opening of the IBC, and its corporate bank account is ............, hereinafter the LAWYER. Her law office address is at ......... The LAWYER mailing address is at ..... The LAWYER email is ........@..... The LAWYER telephone number is .......

8th) The CLIENT, and/or any associates, and/or employees, and/or legal representatives, and/or any other person directly, or indirectly related to the CLIENT and/or his/her project, and/or his/her company may not get in touch with the LAWYER, for any matters related to the LOAN procedure. Should the CLIENT, and/or any associates, and/or employees, and/or legal representatives, and/or any other person directly, or indirectly related to the CLIENT and/or his/her project, and/or his/her company contact the LAWYER for any matters related to the LOAN procedure, this may lead the ADVISER to cancel immediately, and permanently the approval given to the CLIENT´s LOAN request. Should this LOAN-cancelling situation be enforced by the ADVISER against the CLIENT´s LOAN request, the ADVISER will not accept anymore any other project of the CLIENT.

9th) The CLIENT will transfer into the LAWYER´s client account the amount of U.S.$8,000 (eight thousand) to cover the expenses to set up an IBC and linked corporate bank account,

10th) The CLIENT will provide the ADVISER´s AGENT notarized copies of any company documents, and of his personal identification, as deemed necessary for the opening of the IBC, and its linked corporate bank account by the LAWYER.

11th) The LAWYER will keep in escrow all the official documents related to the IBC, and of its linked corporate bank account, until the completion of the LOAN procedure for the project approved for the CLIENT in this AGREEMENT.

12th) Upon the completion of the LOAN procedure, the LAWYER will be authorized by the ADVISER´s AGENT, and by the ADVISER, both signing parties to the IBC, and to its linked corporate bank account, to give the CLIENT full control of the IBC, and of its linked corporate bank account, and at the same time the ADVISER´s AGENT, and the ADVISER will cease to be legal parts of the IBC, and of its linked corporate bank account.

13th) The CLIENT will pay in advance the LAWYER, via bank transfer to the LAWYER´s client account, the costs and fees involved in opening an IBC, and its linked corporate bank account. The LAWYER will proceed to open an IBC, and its linked corporate bank account, under the opening conditions stated in this AGREEMENT.

14th) The ADVISER-designated funding financial bank for this project will transfer the approved LOAN funds for the project into the corporate account of the IBC. The total amount to be transferred by the funding financial bank will be U.S.$......million, in five tranches, and in an established timespan, as stated in this AGREEMENT.

l) The LOAN procedure will involve the completion of the following steps by the ADVISER, and by the ADVISER´s AGENT:

1st) The review and the approval by the ADVISER of the CLIENT´s project.

2nd) The signing of the IBC, and of its linked corporate account, for LOAN-receiving purposes.

3rd) The operating of the IBC, and of its linked corporate bank account, under the LOAN procedure set forth in this AGREEMENT.


13) ESCROW AGENT.

The CLIENT may use, at his/her expense, an ADVISER-designated escrowing lawyer/agent in......, for all matters related to the LOAN procedure, and also for the transfer of the U.S.$....., for the completion of LOAN procedure. The CLIENT may not use any escrowing lawyer/agent of his/her own choice.

14) INDEMNITY.

The CLIENT shall release, defend, indemnify, and hold the ADVISER, and the ADVISER´s AGENT harmless of, and from all damages, direct, consequential, or otherwise, claims, losses, causes of action, liability, costs, including attorneys´ fees, and experts fees at trial, and on appeal, and expenses arising out of, or relating to any breach of this AGREEMENT by the CLIENT.


15) TERM AND SCOPE.

(a) This AGREEMENT, and the obligations imposed upon the CLIENT

hereunder, shall:
(i) exist, and shall continue to exist until 10 (ten) years after the later of the date hereof, and the date the parties to this AGREEMENT no longer have any contract, or business relationship among them;

(ii) exist, and shall continue, irrespective of whether the CLIENT, and

the ADVISER enter into the LOAN procedure, and;

(iii) be independent of either party´s performance, or failure to perform, with

respect to the LOAN procedure.
(b) The existence of any claim, or cause of action by the CLIENT against the ADVISER´s AGENT, and/or the ADVISER, whether predicated on this AGREEMENT, or otherwise, shall not constitute a defense to the enforcement by the ADVISER of any of the provisions of this AGREEMENT.
(c) The restrictions, and remedies set forth in this AGREEMENT are fair, and reasonable, and are reasonably required for the protection of the trade secrets, goodwill, and other legitimate business interests of the ADVISER. In the event that any court of competent jurisdiction determines that any provision of this AGREEMENT exceeds the maximum time period, or scope enforceable under applicable law, said provision shall be deemed automatically reformed to reflect the maximum enforceable time period, or scope permitted under applicable law, which reformation shall be retroactive to the date of this AGREEMENT first set forth above.

16) ENFORCEMENT COSTS.

In the event of any action, or proceedings relating to the interpretation, or enforcement of this AGREMENT, or any breach hereof, the prevailing party in such action, or proceedings shall be entitled to recover from the other party to this AGREEMENT all court costs, expenses, and reasonable attorneys´ fees, including all pre-trial, trial, and appellate proceedings incurred by the prevailing party in that action, or proceeding, in addition to any other relief to which such prevailing party may be entitled.


17) NOTICES.

All notices, demands, requests, and consents given under this AGREEMENT shall be:

(i) in writing;
(ii) mailed to the parties, via courier company mail, at the addresses listed on

the first page hereof, and;

(iii) effective, in the case of mailing it/them via urgent courier company mail, 7 (seven) business days after mailing it/them with any courier company,

for delivery on the next, the eighth, business day.

18) MISCELLANEOUS.

(a) This AGREEMENT represents the complete, and final understanding, and agreement between the parties to it, with respect to the subject matter hereof, and supersedes all other negotiations, understandings, and representations, if any, made by, or among such parties.

(b) This AGREEMENT may be amended only by way of a written document making specific reference to this AGREEMENT, and signed by the party against whom enforcement is sought.

(c) This AGREEMENT shall inure to the benefit of, and be binding upon, the parties to it, and their respective heirs, administrators, legal representatives, successors, and assigns. No waiver of any term, provision, right, or covenant in this AGREEMENT, nor any consent by either party to it, to the other party´s departure from the terms hereof, shall be valid, or enforceable, unless such waiver is in writing, and signed by the party against whom enforcement is sought, and then shall apply only to the specific term, provision, right, or covenant identified in such waiver on that particular instance. The CLIENT shall not assign, or delegate its rights, or obligations hereunder, without the prior written consent of the ADVISER, and any attempt to do so shall be void.

(d) This AGREEMENT shall not be construed more strictly against one party than against the other, merely because it may have been prepared by counsel for one of the parties, it being recognized that all of the parties have contributed substantially, and materially to its preparation.

(e) This AGREEMENT may be executed in any number of counterparts, each of which shall be deemed an original, and all of which together shall constitute one, and the same instrument.
(f) Nothing contained in this AGREEMENT shall obligate any party to it, to enter into the LOAN procedure, or take any other action with respect thereto.


19) GOVERNING LAW.

Any dispute arising out of, or relating to this AGREEMENT shall be brought to a city´s court of law of choice of the defending party, in the United States of America, or Canada, or in any member state of the European Union, or Panama, or Belize, or the British Virgin Islands.

20) PERIOD OF VALIDITY OF THIS PROJECT FINANCING APPROVAL AND LIMITATIONS OF IT.

The period of validity for the acceptance and implementation of this AGREEMENT expires on the sixth day of ......... of the year 2.0...

This approved project financing deadline date will not be extended, unless a situation of Force Majeure is proven clearly, and with hard evidences, by the CLIENT.

This AGREEMENT is a non-negotiable document for any purpose other than the stated herein, and it is conditional on the fully and timely implementation of Clause 12 (twelve) by the CLIENT, prior to the AGREEMENT´s validity expiration date, otherwise on such date this AGREEMENT shall expire and become null and void.
